TASK FORCES UPDATE

Standing Agreement Monitoring Committee

The Standing Agreement Monitoring Committee was formed in 2006 with the following members:
  • Kevin Archibald – Chevron-Texaco
  • Linda Green – Enerplus
  • Jan McLean – ConocoPhillips Canada
  • Marcel Savoie – EnCana (Acting as current chairperson)
The committee has met twice and have discussed our mandate and responsibilities. Our mandate, as noted in the 2006 PJVA Annual Report is as follows:
  1. Monitor the use of PJVA model agreements by the industry to identify:
    • Agreements not commonly used
    • Clauses that are commonly altered and the reasons for them
    • Clauses that are commonly added and the reasons for them
  2. Identify new issues that arise that may effect the model agreements
  3. Identify the need for additional model agreements
  4. Identify the need for additional seminars or other forums for discussion of the model agreements
  5. Track and document issues that have been addressed and the resolution or position of PJVA on each
  6. Report its activity and future plans to the Board, through the Task Force Director, monthly or such other frequency as may be appropriate considering activity level.
The chairperson position will be rotated every six months to one year. Marcel Savoie of EnCana is the first and current chairperson.

Our current projects include reviewing and recommending corrections to the Gas Handling Model Agreement and making recommendations to streamline the review process by companies who are receiving these agreements as the “Producer”.

REQUEST FOR INDUSTRY INPUT
The Committee has made a recommendation to the PJVA Board of Directors that, in addition to miscellaneous administrative changes, the service agreement models include a Modification Page similar to the Elections and Modifications page included in the Operating Agreement of the Model Construction Ownership and Operating Agreement. The Modification Page would be included as Exhibit E and the body of the agreement would include the provision that Exhibit E would prevail should there be a conflict between the Exhibit and the body of the Agreement. Revisions are proposed to the models for Gas Handling, Well Effluent Processing and Water Disposal and Contract Well Operating. Bylaws Review Committee

The PJVA bylaws are the single most important set of rules for defining our association and its governance. Associations should be periodically reviewing their bylaws to see if they meet their current needs, and possibly amend them for more efficient management.

PJVA’s current bylaws were adopted in 1985 and revised couple times since insertion, the latest revision being in 2006 to permit student memberships.

In the past years, PJVA has grown rapidly, thereby creating the need to revisit the bylaws. For this reason, the Board of Directors of the PJVA appointed a Bylaws Revision Committee (“Committee”) formed by volunteer members of our association. The members of the Committee are Jan McLean, Marbella Purdue, Jody Wivcharuk and Ron Ramsay.

The purpose of this Committee is to evaluate the current bylaws and suggest any improvements. Committee members will review the bylaws based on two fundamental criteria: (1) identify deficiencies that make additions to the bylaws necessary; and (2) identify housekeeping changes, such as modernizing the language used, defining terms where appropriate, and reorganizing the bylaws if necessary.

The Committee will be dissolved when the recommended changes have been made by special resolution of the association and it is deemed that the services of the Committee are no longer necessary. The Committee encourages you to read the bylaws carefully and thoughtfully. The Committee welcomes any comments and suggestions from any PJVA Member on potential changes.
